Website Design Terms and Conditions
Confidentiality
Both Fire Pixel, LLC and Customer agree not to disclose any information in the work contract with outside parties.
Project Start / End
Project will begin upon work contract approval and down payment listed on contract is received. (normally, 50% of the estimated total cost) Final ownership of project will be transferred and functional within 24 hours of final payment.
Third Party
Fire Pixel, LLC cannot guarantee third party costs, terms and conditions, or timeframes. In the event that Fire Pixel, LLC utilizes a third party vendor for the work contract the associated costs, terms and conditions and timeframes are subject to change. Customer will be notified in a prompt manner.
Changes
in the event the direction or description of the work contract changes, an addendum will be submitted outlining additional charges if necessary.
Timing Refunds
all projected timeframes are based on the customer submitting all applicable content prior to start. If the Client does not supply Fire Pixel LLC with complete text and graphics content for this Web Design Project within 45 days of the start date of this agreement, the entire deposit amount of the agreement shall be retained by Fire Pixel LLC as liquidated damages and the contract shall become null and void.
Delays
in the event the work contract is delayed beyond 30 days due to customer request, Fire Pixel, LLC reserves the right to invoice customer prior to completion for remainder of work contract balance.
Cancellation
in the event customer cancels or halts work contract, customer is responsible for notifying Fire Pixel, LLC in writing. Customer will be responsible for costs and time invested in the work contract up until date of written notification. If work completed exceeds down payment no refund will be given.
Price Guarantee
upon work contract approval, both price & deadline are guaranteed not to
exceed the contract. If the work contract is delayed due to customer request or content delays this
Guarantee is null and void.
Copyright
the Customer unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Fire Pixel, LLC for inclusion in the work contract are owned by Fire Pixel, LLC and its subcontractors from any liability (including attorney's fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the Customer.
E-com Laws
the Customer agrees that the Customer is solely responsible for complying with any laws, taxes, and tariffs applicable in any way to the Work Contract or any other services contemplated herein, and will hold harmless, protect, and defend Fire Pixel, LLC and its subcontractors from any claim, suit, penalty, tax, fine, or tariff arising from the Customer's exercise of Internet electronic commerce and/or any failure to comply with any such laws, taxes and tariffs. subcontractors retain the right to display graphics and other design elements as examples of their work in their respective portfolios. All Work may contain a copyright/legal statement with a link to Fire Pixel, LLC's website and/or information.
